Welcome to Magica! These Terms and Conditions ("Terms") govern your use of the Magica service and website (collectively referred to as the "Service"), operated by Insito Health, Inc. ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Description of Service

Magica is a personal AI assistant that communicates with you over iMessage. Magica can make phone calls on your behalf, manage your calendar, read and send emails, set reminders, coordinate with your contacts, and help you get things done — all through text messages.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

3. No Professional Advice

Magica is not a licensed professional service provider. The Service is not a substitute for professional medical, legal, financial, or other expert advice. Any information provided through the Service is for general informational and convenience purposes only. Always consult qualified professionals for matters requiring specialized expertise.

4. User Accounts

By using the Service, you agree to provide accurate and current information. You are responsible for maintaining the confidentiality of your account and for all activity conducted through it. You agree to notify us immediately of any unauthorized use of your account.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful or fraudulent purpose.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Attempt to gain unauthorized access to the Service or its related systems.
• Use automated means to access the Service without our express written permission.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the Service to harass, abuse, or harm another person or to send unsolicited communications.

6. Third-Party Services

Magica may interact with third-party services on your behalf, such as making phone calls to businesses, accessing your Google Calendar, reading and sending emails through your connected Gmail account, or sending messages to your contacts. When you connect your Google account, you authorize Magica to access your Google Calendar and Gmail on your behalf. You authorize Magica to act on your behalf when you instruct it to do so. We are not responsible for the actions or policies of any third-party service.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy and Consumer Health Data Privacy Policy, which are incorporated into these Terms by reference.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or secure. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee the accuracy or completeness of any information relayed by Magica from third parties, including but not limited to business hours, availability, pricing, or scheduling confirmations. You should independently verify critical information.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Insito Health, Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

10. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a new "Last updated" date. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions.
